Welcome to BiTech Informatics – Facilities (“we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your access and use of our platform at facilities.bitechinformatics.com (the “Service”), including subscription plans and promotional offers. By creating an account or using our Service, you agree to these Terms. If you do not agree, please discontinue use.

1. Promotion – One-Year Subscription at No Charge

Eligibility: This promotional offer provides one year of access to the Service at no charge, contingent upon your agreement to an onsite visit by our team.

Onsite Visit Requirement: The onsite visit is required to activate the promotional subscription. Scheduling must occur within [X days] of registration. If you decline or fail to complete the visit, the free subscription may be forfeited.

Duration: The promotional subscription runs for twelve (12) consecutive months starting on the date of activation after the onsite visit.

Limitations: Limited to one promotional subscription per facility location. Not transferable or redeemable for cash.

2. Subscription Plans (Post-Promotion)

At the end of the promotional term, your subscription may automatically convert to a paid plan unless canceled prior to renewal.

You will be notified in advance of applicable rates, options, and renewal timelines.

3. Account Registration and Use

Accuracy: You agree to provide accurate, current, and complete information during registration.

Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

Authorized Use: The Service is provided solely for your facility’s internal use. Unauthorized resale, sublicensing, or reverse engineering is prohibited.

4. Services Provided

The Service includes subscription-based access to:

Asset and device tracking dashboards.

Maintenance, compliance, and service log features.

Clinical informatics integrations (where applicable).

Subscription usage metrics and reporting.

5. Fees and Payments

The promotional subscription is free of charge for twelve (12) months, subject to Section 1.

Fees for future paid subscriptions will be disclosed in advance.

Payments must be made via approved methods; failure to pay may suspend or terminate access.

6. Compliance & HIPAA

If the Service processes or stores Protected Health Information (“PHI”), we will comply with HIPAA requirements and enter into a Business Associate Agreement (“BAA”) where legally required.

You remain responsible for compliance as a covered entity or healthcare provider, including ensuring only authorized users access PHI.

7. Termination and Cancellation

By You: You may cancel at any time through your account dashboard. Cancellation during the promotional period terminates free access immediately.

By Us: We may suspend or terminate your access for violation of these Terms, misuse of the Service, or non-compliance with laws.

After Promotion: Failure to renew into a paid plan after the promotional term will result in termination of access.

8. Intellectual Property

All rights, title, and interest in the Service (software, content, trademarks, logos) remain with BiTech Informatics.

You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

9. Privacy Policy

Use of the Service is also governed by our Privacy Policy, which outlines data collection, use, and HIPAA compliance measures.

10. Limitation of Liability

The Service is provided “as-is” without warranties of any kind.

To the maximum extent permitted by law, we disclaim liability for indirect, incidental, or consequential damages.

Our aggregate liability shall not exceed the amount paid by you in the twelve (12) months prior to the claim (or $0 for promotional accounts).

11. Indemnification

You agree to indemnify and hold us harmless from claims, damages, or liabilities arising from your misuse of the Service, violation of laws, or breach of these Terms.

12. Governing Law

These Terms shall be governed by and construed under the laws of the State of Georgia, United States, without regard to conflict-of-law provisions.

13. Changes to Terms

We may update these Terms from time to time. Notice will be provided via email or on the site. Continued use after changes constitutes acceptance of the revised Terms.
